Proposed changes to legislation mean a business with a transferrable licence, such as a commercial fishing licence, would be able to use their licence as collateral to secure loans in British Columbia.

Bill 5, the Personal Property Security Amendment Act, 2011, was introduced in the legislature today by Steve Thomson, Minister of Forests, Lands and Natural Resource Operations on behalf of the Ministry of Finance.

The amendment would expand the definition of "licence" in the Personal Property Security Act and clarify that all transferrable licences regarding personal property may be used in British Columbia as collateral for a loan, allowing lenders to register their claim against the licence to guarantee the loan.

The need for these amendments was triggered by a 2008 Supreme Court of Canada decision regarding commercial fishing licences in Nova Scotia. B.C. law in this area is unclear, resulting in uncertainty, higher legal costs and lack of access to credit.

Legal certainty on this issue would make credit transactions less expensive, less risky and less time-consuming. It would also keep B.C. on a level playing field with other provinces.

Licences that would benefit from this amendment also include liquor licences, agricultural marketing quotas, security business licences, guide outfitter licences and others.

Licence issuers who do not want their licences to be subject to the rules under the Personal Property Security Act will be able to add a condition to the licence to make it non-transferrable.

Des amendements en vue de permettre un meilleur accès au crédit pour les entreprises

Les changements proposés à la loi pourront faire en sorte qu'une entreprise dont le permis est transférable - par exemple un permis de pêche commerciale - serait en mesure d'utiliser ce permis comme garantie pour un emprunt effectué en Colombie-Britannique.

Le projet de loi 5, la Personal Property Security Amendment Act de 2011, a été déposé à l'Assemblée législative aujourd'hui par Steve Thomson, ministre des Forêts, des Terres et de l'Exploitation des ressources naturelles, au nom du Ministry of Finance (ministère des Finances).

Cet amendement élargirait la définition de " permis " contenu dans la Personal Property Security Act et permettrait de clarifier le fait que les permis transférables liés à la propriété individuelle peuvent être utilisés comme garantie de prêt en Colombie-Britannique, ce qui donnerait désormais la possibilité aux prêteurs d'enregistrer une créance envers le permis en vue de garantir un emprunt.

La nécessité de tels amendements fait suite à une décision rendue en 2008 par la Cour suprême du Canada concernant les permis de pêche commerciale en Nouvelle-Écosse. Les lois de la Colombie-Britannique sont relativement floues à cet effet, ce qui provoque des incertitudes, des frais juridiques plus élevés et un accès limité au crédit.

La certitude juridique sur cette question fera en sorte que le crédit sera moins coûteux, comportera moins de risques et exigera moins de temps. Elle permettra également à la Colombie-Britannique d'être au diapason des autres provinces canadiennes.

Les types de permis susceptibles de bénéficier de tels amendements sont notamment les permis d'alcool, les quotas de mise en marché de produits agricoles, les permis d'entreprise du domaine de la sécurité, les permis de guides de pourvoirie et autres.

Les institutions qui délivrent des permis assujettis aux dispositions de la Personal Property Security Act seront en mesure d'ajouter une condition à leur permis stipulant que ceux-ci ne sont pas transférables.
